1. What a Premium Event Listing Is

A Premium Event Listing is a paid visibility and promotional product for events listed on SmartShanghai.

Depending on the selected package, Premium Event Listings may receive enhanced placement, additional visibility, inclusion in promotional modules, or other features described at the time of purchase.

A Premium Event Listing is a visibility and advertising service. SmartShanghai does not guarantee any specific number of views, attendees, ticket sales, leads, or other results.

2. Event Information

The organizer is responsible for ensuring that all information provided to SmartShanghai is accurate and up to date, including but not limited to:

  • event date and time

  • venue and location

  • ticket prices

  • performers, speakers, or participants

  • age restrictions

  • entry requirements

  • event descriptions, images, and promotional materials

The organizer must promptly inform SmartShanghai of any material changes to the event.

SmartShanghai may edit formatting, wording, images, or structure where reasonably necessary for clarity, consistency, or platform presentation.

3. Organizer Authority, Licences & Legal Compliance

By purchasing a Premium Event Listing, the organizer represents and warrants that it has the legal authority to organize, promote, advertise, and, where applicable, sell tickets for the event.

The organizer is solely responsible for obtaining and maintaining all permits, licences, approvals, venue permissions, performance rights, intellectual property rights, regulatory approvals, and other authorizations required for the event and its promotion.

The organizer further confirms that the event, its promotion, and all materials supplied to SmartShanghai comply with applicable laws and regulations.

SmartShanghai's acceptance or publication of an event does not constitute verification, approval, certification, or endorsement of the event's legal status, safety, quality, or regulatory compliance.

4. Right to Suspend or Remove Events

SmartShanghai reserves the right to suspend or remove an event listing, advertising, promotional placement, or related content at any time if SmartShanghai reasonably believes there may be concerns regarding:

  • the legality or authorization of the event

  • required licences, permits, or approvals

  • inaccurate or misleading information

  • intellectual property or other third-party rights

  • event authenticity

  • customer complaints

  • public safety

  • regulatory or government requirements

  • potential harm to SmartShanghai, its users, or its reputation

SmartShanghai may request supporting documentation or other evidence from the organizer before restoring an event or its promotion.

SmartShanghai is not required to establish that a violation has occurred before temporarily suspending an event while concerns are reviewed.

Where SmartShanghai also provides ticketing services for the event, SmartShanghai may suspend or discontinue ticket sales at the same time.

SmartShanghai shall not be liable for lost sales, revenue, attendance, exposure, or other losses resulting from a suspension or removal made in good faith under this section.

5. Event Changes, Postponement & Cancellation

The organizer must notify SmartShanghai as soon as reasonably possible of any cancellation, postponement, venue change, material lineup change, or other significant change affecting customers.

The organizer remains responsible for the event itself and for obligations arising from its cancellation, postponement, modification, or inability to take place as advertised.

Where SmartShanghai provides ticketing services, ticket cancellations and refunds are additionally governed by the applicable SmartShanghai ticketing terms.

6. Promotional Features & Publication Timing

Depending on the selected package, a Premium Event Listing may include additional promotion through SmartShanghai channels, such as:

  • SmartShanghai email newsletters

  • WeChat event roundups or other WeChat publications

  • targeted member push notifications

  • website, app, and Mini Program promotional modules

  • other promotional placements specified in the selected package

Where a promotional feature is expressly included in the purchased package, SmartShanghai will make reasonable efforts to provide that feature during the relevant event promotion period.

However, SmartShanghai does not guarantee an exact publication date, publication time, sending time, position within a publication, or duration of exposure unless specifically agreed in writing.

Publication schedules may change due to editorial planning, platform requirements, technical issues, event timing, or other operational considerations.

The organizer must provide all required event information and materials sufficiently in advance. SmartShanghai is not responsible for delayed, reduced, or missed promotional features where required information, approvals, or materials are provided late or are incomplete.

7. Editorial Summary & Presentation

Premium Event Listings may include short summary or teaser text written or edited by SmartShanghai editors.

These summaries are intended to present events in SmartShanghai's established informative style and may therefore differ from wording supplied by the organizer.

SmartShanghai retains final control over the wording, formatting, length, tone, and presentation of listing summaries and other short promotional text.

Event information will be presented accurately based on the materials provided by the organizer, but promotional copy supplied by the organizer is not guaranteed to be reproduced verbatim.

8. Images, Thumbnails & Visual Presentation

SmartShanghai may select, crop, resize, reformat, or otherwise adapt images supplied by the organizer for use as thumbnails, list-view images, promotional graphics, or other platform placements.

SmartShanghai may also select which supplied image is used as the primary event image in different placements.

These adjustments are made to maintain visual consistency, readability, and SmartShanghai's overall platform style.

The organizer remains responsible for ensuring that it has all necessary rights and permissions for images and other visual materials supplied to SmartShanghai.

9. Fast Listing & Support

Some Premium Event Listing packages include Fast Listing & Support.

SmartShanghai aims to review and publish eligible Premium Event Listings within one (1) working day after receiving all required information and materials.

This is a target service time and not a guaranteed publication deadline.

Processing may take longer due to incomplete information, required corrections, unusually high submission volume, technical issues, public holidays, regulatory or compliance checks, or other reasonable operational circumstances.

The one-working-day target only begins once SmartShanghai has received sufficient and complete information and materials to process the listing.

The organizer is responsible for providing materials sufficiently in advance of the event. SmartShanghai is not responsible for reduced promotional time resulting from late submission by the organizer.

10. Email, WeChat & Push Notification Delivery

Some Premium Event Listing packages include distribution through email newsletters, WeChat publications, targeted member push notifications, or similar communication channels.

SmartShanghai will make reasonable efforts to schedule and distribute these promotions through the applicable channels. However, successful transmission by SmartShanghai does not guarantee delivery, visibility, opening, reading, clicking, or engagement by individual recipients.

Delivery and reporting may depend on third-party systems and factors outside SmartShanghai's control, including:

  • email providers and spam filters

  • WeChat distribution and platform systems

  • Apple, Google, and other push notification services

  • users' notification and privacy settings

  • device availability and connectivity

  • platform algorithms or restrictions

  • technical filtering or blocking

  • third-party analytics and reporting systems

Recipient, delivery, impression, open, click, and engagement figures provided by SmartShanghai or displayed in reporting dashboards are based on data made available by the relevant platforms and measurement systems.

SmartShanghai cannot independently verify all such data and does not guarantee its absolute accuracy or completeness.

Accordingly, inclusion in a promotional channel means that SmartShanghai will make reasonable efforts to publish or send the promotion through that channel; it does not guarantee that any particular number of users will receive, view, open, or interact with it.

11. Advertising Fees & Refunds

Premium Event Listing fees relate to advertising and visibility services and do not depend on event attendance or commercial performance.

Once promotion has begun, advertising fees are generally non-refundable.

If SmartShanghai suspends or removes an event because of inaccurate information, missing authorization, suspected legal or regulatory issues, a breach of these terms, or circumstances attributable to the organizer, SmartShanghai is not required to refund advertising fees already paid.

This does not affect any separate obligations relating to customer ticket refunds.

12. Content & Usage Rights

The organizer retains ownership of content it provides to SmartShanghai.

By submitting text, images, logos, videos, or other materials, the organizer confirms that it has the necessary rights to use and provide those materials and grants SmartShanghai a non-exclusive, worldwide, royalty-free right to use, reproduce, edit, format, distribute, and display them for the purpose of promoting, listing, reporting on, and archiving the event across SmartShanghai platforms and promotional channels.

13. Editorial Independence

Purchasing a Premium Event Listing does not guarantee independent editorial coverage, recommendations, reviews, or inclusion in editorial articles unless a specific promotional feature is expressly included in the purchased package.

SmartShanghai retains editorial control over its independent editorial content.

14. Placement & Platform Changes

Premium Event Listings may appear across the SmartShanghai website, app, Mini Program, newsletters, social channels, discovery modules, or other promotional surfaces depending on the selected package.

SmartShanghai may update layouts, placement logic, formats, platform features, or distribution methods as its products evolve.

Unless explicitly stated otherwise in the purchased package, no permanent position or exact level of traffic is guaranteed.

15. Organizer Responsibility & Indemnification

The organizer is solely responsible for the organization, operation, legality, safety, and delivery of the event.

To the extent permitted by applicable law, the organizer agrees to indemnify and hold SmartShanghai harmless against third-party claims, liabilities, losses, damages, and reasonable costs arising from:

  • the organization or operation of the event

  • cancellation, postponement, or material changes to the event

  • missing or invalid licences, permissions, or approvals

  • inaccurate or misleading information supplied by the organizer

  • infringement of intellectual property or other third-party rights

  • claims arising from the organizer's breach of these terms or applicable law

SmartShanghai acts as an advertising, information, and, where separately agreed, ticketing platform and is not the organizer or operator of the event.

16. Technical Availability

SmartShanghai will make reasonable efforts to keep its platforms and promotional services available but does not guarantee uninterrupted availability.

Temporary downtime, maintenance, technical failures, third-party platform restrictions, internet restrictions, or circumstances beyond SmartShanghai's reasonable control do not constitute a guarantee of compensation or specific advertising performance.

17. Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, infrastructure failures, government actions, regulatory restrictions, public emergencies, or similar unforeseen events.

18. Governing Law

These terms are governed by the laws of the People's Republic of China.

Any dispute arising from these terms shall be submitted to the competent court in Shanghai.

19. Final Terms

These terms, together with the package description presented at the time of purchase and any applicable SmartShanghai ticketing terms, constitute the agreement relating to the Premium Event Listing.

SmartShanghai may update these terms from time to time. Changes will apply to future purchases or renewals unless otherwise required by applicable law.
